MAQS advised Agtira in its rights issue and the acquisition of Pepino Växthus and Gurkfast i Sverige

Agtira has completed an oversubscribed rights issue of B shares, which will provide the company with proceeds of approximately SEK 19 million before deductions for costs related to the rights issue.

In response of the oversubscription, the board of Agtira has proposed that an extraordinary general meeting resolves on an additional issue, which may provide the company with additional proceeds of approximately SEK 8 million.

In connection with the rights issues, Agtira has also acquired all shares in Pepino Växthus AB and the associated real estate company Gurkfast i Sverige AB, which, like Agtira, conduct greenhouse cultivation of cucumbers. The acquisitions are expected to be a crucial step in Agtira's continued growth journey. The purchase price for the shares in the companies amounted to approximately SEK 100 million and has mainly been paid through a directed issue of B shares in Agtira to the seller.

MAQS Advokatbyrå acted as legal advisor and Aqurat Fondkommission served as issuing agent to Agtira in connection with the rights issue. The MAQS team mainly consisted of Eric Ehrencrona and Rebecka Malm.

Agtira AB is listed on Nasdaq First North Growth Market and is a foodtech company based in Härnösand that operates systems for illuminated year-round cultivation in greenhouses. The company has a total cultivation area of approximately 16,000 m², spread across six locations. All cultivation is done with artificial lighting and is adapted for year-round production.
