MAQS advises Agtira on rights issue of SEK 59.8 million
MAQS has advised Agtira AB in connection with their planned rights issue for existing shareholders. Upon full subscription in the rights issue, Agtira AB may receive SEK 59.8 million before deductions for costs related to the rights issue. Additionally, an additional issue of SEK 20 million may be utilized in the event of oversubscription.
The rights issue is conducted through the issuance of newly issued B shares, and the subscription period runs from January 10 to January 24, 2025. Agtira AB has received subscription commitments from major shareholders Bäckvarvet Holding AB, Inga Albertina Holding AB, Tvättbjörnen Holding AB, Stig Svedberg and Sendelbach Förvaltning AB (the "Major Shareholders"), as well as the Chairman of the Board. Furthermore, Agtira AB has entered into agreements for guarantee commitments with the Major Shareholders. In total, the subscription and guarantee commitments correspond to 100 percent of the rights issue.
Agtira AB is a food tech company that offers food chains, stores, and other stakeholders its Farming as a Service concept. This means that Agtira, either alone or together with a third party, invests in, establishes, and then operates its cultivation systems to produce a variety of vegetables and fish species, while the store or chain commits to purchasing the entire produced volume over a certain contract period at predetermined prices. Through Agtira's operations, the need for transportation and food waste is reduced.
MAQS Advokatbyrå is the legal advisor, and Vator Securities AB acts as the financial advisor and issuing agent in connection with the rights issue.
