At MAQS, advising within the sustainability area, often referred to as ESG, is an integrated part of our full-service business law offering. We work to prepare companies for complex legal, strategic, operational, and financial changes, thereby strengthening reputation, brand, customer relationships, and profitability. We assist in identifying and managing both opportunities and risks in ongoing operations, as well as in investigations, supervision, and crisis management. Sustainable Operations

We assist our clients, regardless of industry, with important questions regarding regulatory and contractual clarity on how suppliers and other stakeholders work sustainably with issues such as internal control, anti-corruption, working conditions, and safe production. This includes areas related to sustainable supply chains, internal and external codes of conduct, and follow-up work to ensure compliance with set requirements. We assist in the preparation of reporting, governing documents, and policies, as well as investigating reported violations or other incidents. 

We regularly provide marketing law advice related to environmental claims. We navigate through new and upcoming legislation and precedents from regulatory authorities, where several companies' environmental claims have recently been closely scrutinized.

Sustainable Employment Law 

We help you to create fair conditions to ensure a sustainable and ethical work environment for your employees, both in Sweden and globally, and identify your employment law obligations. As an employer, you have extensive responsibilities for your employees and for how the business affects other people outside the organization. It is therefore important to actively consider and manage ESG-related issues in processes such as corporate acquisitions, restructurings, and various incentive structures. Companies need to consider environmental, social, and organizational factors in their business decisions to contribute to a more responsible and sustainable development. 

We assist our clients with ensuring a safe work environment with fair wages, efforts that promote inclusion and co-determination in the workplace, and the establishment of European Works Councils for multinational companies, to name a few examples.

Environmental Law, Permits and Supervision 

Environmental legal compliance is a pressing issue for all companies. At the same time, the environmental field is becoming increasingly regulated. MAQS specialists have solid experience and expertise in environmental law and regularly help companies and organisations navigate the regulations so that they become a useful tool rather than an obstacle.

Our specialists also regularly assist companies with environmental legal matters concerning everything from permit applications to changes in conditions, as well as advice on supervision matters and contaminated land. Our knowledge of permit and liability issues is particularly valuable in connection with M&A and real estate transactions. We help companies identify challenges and solutions and assist in contacts with authorities and in court proceedings. Since Swedish environmental legislation is strongly influenced by national and international political positions, MAQS works proactively regarding potential legislative changes so that our clients can adapt their operations to the changed requirements at an early stage.

Sustainable Transactions 

We help identify, manage, and leverage ESG-related issues within M&A, stock market regulations, and corporate law. In corporate transfers and capital acquisitions, we proactively integrate ESG aspects into due diligence processes, risk assessments, and transaction structuring. We ensure that our clients get a comprehensive view of both business risks and future opportunities related to sustainability. 

Our advice and analysis are tailored to our clients' operations and needs and are valuable for both potential sellers and buyers, investors, or other concerned stakeholders as it helps identify and better understand both business opportunities and potential risks related to the environment, social responsibility, and regulatory compliance. We establish governing documents, processes, and work instructions for risk reduction and incident management. 

On the stock market, we assist companies in meeting increased demands for transparency and reporting, including regulatory compliance within the EU's sustainability framework (such as CSRD and SFDR). In corporate law, we support our clients in integrating ESG into corporate governance, for example by developing policies and incentive programs and during the implementation of restructurings.

Renewable Energy 

Renewable energy plays a central role in reducing carbon emissions and combating climate change – companies that invest in and use renewable energy contribute to reducing their environmental impact while simultaneously strengthening their competitiveness. MAQS Renewables group is widely recognized, including by the international ranking institute Legal500, as one of Sweden's leading legal experts in the renewable energy sector. The group advises developers, investors, and energy companies throughout the lifecycle of renewable energy projects, including wind power, solar energy, battery storage systems (BESS), electrofuels, and green hydrogen. 

In addition to helping actors who develop, build, or invest in assets that produce renewable energy, we also assist companies that consume large amounts of electricity. Many industries in Sweden consume large amounts of electricity, several of which also need to increase their electricity consumption as part of the electrification of their production processes. Here, MAQS can provide advice on renewable electricity and long-term electricity trading agreements.

CASE

Gina Tricot / EU's Green Deal


MAQS has provided Gina Tricot with advice on the sustainability regulations under the EU Green Deal and analyzed how these regulations impact Gina Tricot’s operations. 

The work has included a screening of the regulatory framework and a risk analysis focusing on sanctions and other consequences of non-compliance, the timeline for when the regulations take effect, as well as the relevance and impact of the risks on Gina Tricot’s business.

Based on this analysis, the risks have been classified as high, medium, or low. The work has also included mapping the areas of the company's operations that are affected by the various regulations. The purpose of this mapping was to establish a prioritization and provide internal clarity at Gina Tricot for future efforts.
